We are a blank check company incorporated on June 9, 2025 under the name “Meteora Venture Partners Acquisition Corporation V Ltd.” as a Cayman Islands exempted company, and re-named “Bitcoin Infrastructure Acquisition Corp Ltd.” by special resolution, on August 7, 2025, with no material operations of our own and formed for the purpose of effecting a merger, amalgamation, share exchange, asset acquisition, share purchase, reorganization or similar business combination with one or more businesses, which we refer to throughout this prospectus as our initial business combination. We have not selected any business combination target, and we have not, nor has anyone on our behalf, initiated any substantive discussions, directly or indirectly, with any business combination target. Our management team and board have a decades-long track record of investing across deep networks within the crypto, digital asset, and technology ecosystems. We believe we are well-positioned to identify businesses that are building core infrastructure such as wallets, custody, exchanges, lending protocols, and tokenized financial instruments as well as real-world applications of blockchain and distributed ledger technologies, including in payments, DeFi, and cross-border finance.
